TheNavalArch – Consultant Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) is between TheNavalArch Pty Ltd (“TheNavalArch”, “we”, “our”) and any individual consultant or service provider (“Consultant”, “you”) who submits information, documentation, or proposals to TheNavalArch through its website or other communication channels.
By submitting your details or CV, you acknowledge and agree to the confidentiality obligations outlined below.
1. Purpose
TheNavalArch may disclose or receive certain confidential or proprietary information (“Confidential Information”) for the purposes of:
- evaluating the Consultant’s qualifications and suitability for current or future projects; and
- collaborating on project proposals, engineering analyses, or related assignments.
2. Definition of Confidential Information
Confidential Information includes, but is not limited to:
- project data, drawings, calculations, methodologies, and client details;
- pricing, business strategies, or operational information;
- personal or professional data submitted by consultants; and
- any correspondence or materials marked or reasonably understood to be confidential.
Confidential Information does not include information that:
- is or becomes publicly available through no fault of the Consultant or TheNavalArch;
- was lawfully obtained by the receiving party before disclosure; or
- is independently developed without reference to the disclosing party’s data.
3. Obligations of the Consultant
The Consultant agrees to:
- Keep all Confidential Information strictly confidential and use it solely for the purpose stated above;
- Not disclose, copy, distribute, or use any Confidential Information for personal or third-party benefit without TheNavalArch’s written consent;
- Take reasonable precautions to protect Confidential Information from unauthorised access or disclosure; and
- Return or delete any Confidential Information on request or upon cessation of discussions with TheNavalArch.
4. Obligations of TheNavalArch
TheNavalArch will:
- Treat all consultant submissions (CVs, credentials, and supporting materials) as confidential;
- Store such data securely within its systems and disclose it only to authorised internal personnel or clients under equivalent confidentiality commitments; and
- Use consultant information solely for vetting, project matching, or contractual purposes.
5. No Transfer of Rights
This Agreement does not grant any licence, ownership, or intellectual-property rights to either party, except the limited right to use Confidential Information for evaluation and collaboration.
6. Term & Termination
These confidentiality obligations begin on the Effective Date and remain in force for five (5) years from the date of last disclosure, or until the Confidential Information lawfully enters the public domain, whichever occurs first.
Either party may terminate participation at any time by written notice, but confidentiality obligations survive termination.
7. No Employment or Engagement Guarantee
Execution or acceptance of this NDA does not constitute an offer of employment or guarantee of project assignment.
Any future engagement will be governed by a separate written agreement.
8. Governing Law
This Agreement is governed by the laws of Victoria, Australia, and any dispute shall be subject to the exclusive jurisdiction of the courts of Victoria.
9. Acknowledgement
By submitting your CV or profile through TheNavalArch website form, you acknowledge that you have read, understood, and agree to the terms of this Non-Disclosure Agreement.
